Kneadr Terms of Service

Kneadr is a software platform designed to help independent home bakers and small food businesses organize and manage their businesses.

Kneadr may provide tools for:

• Pantry and ingredient organization
• Recipe storage and organization
• Recipe importing
• Product creation
• Bake Day planning
• Shopping lists
• Customer management
• Order management
• Customer ordering
• Pickup coordination
• Payment processing through third-party payment providers
• Customer communications
• Artificial intelligence ("AI") tools
• Business and Bake Day insights

Kneadr is a software service. Kneadr does not manufacture, prepare, package, sell, deliver, or inspect food products offered by users of the Service.

You must provide accurate information when creating your account and keep your information reasonably up to date.

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity occurring under your account
• Keeping your account secure
• Not sharing your account in a way that violates these Terms

You must be at least 18 years old to create a Kneadr account unless Kneadr expressly permits otherwise.

Kneadr users operate their own independent businesses.

If you use Kneadr to sell food or other products, you are solely responsible for your business and your transactions with customers.

You are responsible for complying with all laws and regulations applicable to your business, including, where applicable:

• Food safety requirements
• Cottage food requirements
• Business licensing or registration
• Permits
• Food labeling
• Allergen disclosures
• Taxes
• Pricing
• Customer refunds
• Product fulfillment
• Pickup and delivery
• Advertising and marketing
• Customer communications

Kneadr does not determine whether you are legally permitted to operate your business.

Kneadr may provide tools that allow you to accept orders from your customers.

Unless expressly stated otherwise, the contract for the purchase of a product is between the baker and the customer.

Kneadr is not the seller of products listed by users.

You are responsible for:

• Accurately describing products
• Setting prices
• Accepting or rejecting orders
• Preparing products
• Fulfilling orders
• Providing pickup or delivery
• Handling refunds and customer complaints
• Complying with applicable laws

Kneadr may integrate with third-party payment providers.

When you connect a payment provider account, such as Stripe, that relationship is between you and the payment provider and is subject to that provider's separate terms.

Kneadr does not control the payment provider's services, including:

• Payment authorization
• Payment processing
• Payout timing
• Refund processing
• Disputes
• Chargebacks
• Account holds
• Account termination

You are responsible for maintaining any required payment-provider account and complying with its terms.

Kneadr does not store complete credit card numbers or banking credentials.

Certain Kneadr features may require a paid subscription.

Current plans and pricing will be displayed within Kneadr or on the applicable signup or pricing page.

If you subscribe to a paid plan:

• You authorize Kneadr or its payment provider to charge the applicable subscription fee.
• Subscriptions may automatically renew unless cancelled.
• You may cancel according to the cancellation process provided in the Service.
• Cancellation generally takes effect at the end of the current billing period unless otherwise stated.

Kneadr may change subscription pricing in the future. If a price change affects an existing paid subscription, we will provide reasonable notice before the change takes effect.

Kneadr may offer free plans, trials, beta access, promotional pricing, or founder pricing.

Promotional access may have specific eligibility requirements, expiration dates, or feature limitations.

Kneadr may modify or discontinue promotional offers at any time, subject to any terms specifically provided with the offer.

Kneadr may offer AI-powered features, including recipe organization, recipe analysis, baking assistance, image analysis, business insights, or other tools.

AI-generated information is provided for informational and organizational purposes only.

AI output may be inaccurate, incomplete, or inappropriate for a particular situation.

You are responsible for independently reviewing AI-generated information before relying on it.

You retain ownership of content you submit to Kneadr, including recipes, photographs, product information, descriptions, and other materials ("User Content").

By submitting User Content, you grant Kneadr a limited license to host, store, process, display, and otherwise use that content as reasonably necessary to provide and improve the Service.

This license does not give Kneadr ownership of your recipes or other User Content.

You represent that you have the necessary rights to submit the content you provide to Kneadr.

Kneadr may allow you to import recipes from websites, photographs, screenshots, documents, or other sources.

You are responsible for ensuring that you have the right to use and store any recipe or other content you import.

Kneadr does not guarantee the accuracy, completeness, or continued availability of imported content.

You may not use Kneadr to:

• Violate applicable law
• Commit fraud
• Impersonate another person or business
• Upload malicious code
• Attempt to gain unauthorized access to another account
• Interfere with the Service
• Abuse payment or communication systems
• Use the Service to harass, threaten, or harm others
• Upload content that you do not have the right to use
• Circumvent usage limits or security measures

Kneadr may suspend or terminate accounts involved in prohibited activity.

Kneadr may integrate with third-party services, including payment processors, hosting providers, AI providers, analytics services, and other technology providers.

Those services may have their own terms and privacy policies.

Kneadr is not responsible for the availability, performance, security, or policies of third-party services.

Kneadr and its underlying software, design, branding, features, and technology are owned by Kneadr or its licensors.

Except as expressly permitted by these Terms, you may not:

• Copy Kneadr's software
• Reverse engineer the Service
• Resell or sublicense the Service
• Remove proprietary notices
• Use Kneadr branding without permission

Your use of Kneadr does not transfer ownership of Kneadr's intellectual property to you.

Kneadr is provided on an "as available" basis.

We will make reasonable efforts to keep the Service available, but we do not guarantee uninterrupted or error-free operation.

The Service may occasionally be unavailable because of:

• Maintenance
• Updates
• Technical problems
• Third-party service outages
• Security incidents
• Circumstances beyond our reasonable control

To the maximum extent permitted by law, Kneadr is provided without warranties of any kind, express or implied.

Kneadr does not guarantee:

• That the Service will meet every business need
• That the Service will always be available
• That information will always be accurate
• That AI outputs will be accurate
• That using Kneadr will result in increased sales
• That your business will comply with applicable laws simply because you use Kneadr

To the maximum extent permitted by law, Kneadr and its owners, employees, contractors, and service providers will not be liable for indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.

To the maximum extent permitted by law, Kneadr's total liability arising from the Service will not exceed the amount you paid Kneadr for the Service during the twelve months preceding the event giving rise to the claim.

Some jurisdictions do not allow certain limitations, so some provisions may not apply to you.

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Kneadr and its owners, employees, contractors, and service providers from claims, damages, liabilities, costs, and expenses arising from:

• Your use of the Service
• Your business
• Your products
• Your transactions with customers
• Your violation of these Terms
• Your violation of applicable law
• Your User Content

You may stop using Kneadr at any time.

Kneadr may suspend or terminate an account if we reasonably believe the account:

• Violates these Terms
• Creates a security risk
• Is involved in fraud or abuse
• Violates applicable law
• Creates significant risk to Kneadr or other users

Where appropriate, we will provide notice and an opportunity to address the issue.

After account termination, Kneadr may retain certain information as reasonably necessary for:

• Legal compliance
• Fraud prevention
• Dispute resolution
• Accounting
• Security
• Enforcement of these Terms

Information otherwise subject to deletion will be handled according to the Kneadr Privacy Policy.

We may update these Terms as Kneadr evolves.

If we make material changes, we will provide reasonable notice where required.

Your continued use of Kneadr after the updated Terms become effective means you accept the updated Terms.

These Terms will be governed by the laws of the State of Texas, without regard to conflict-of-law principles, unless applicable law requires otherwise.
